USER TERMS AND CONDITIONS

1. INTRODUCTION‍

1.1 About HumannHumann (“Platform”) is a digital mental health platform that connects users with qualified mental health professionals (“Therapists”) for virtual therapy sessions. The Platform is owned and operated by Humann Healthtech Global Solutions Private Limited, a company registered under the laws of India, with its principal place of business at 1st floor, 6-3-592/2, Rockdale, Rockdale, Somajiguda, Hyderabad, Telangana, 500082. These User Terms and Conditions (“Terms”) govern the relationship between Humann and individuals (“Users”) who access or use the Platform’s services.

1.2 Scope of ServicesHumann facilitates access to qualified mental health professionals for live therapy sessions via video calls. The Platform provides additional mental wellness tools such as mood tracking and analytics through a subscription model. However, Humann does not provide emergency mental health support, pharmacological treatment, or crisis intervention services. If a User is experiencing a mental health emergency or is in immediate danger, they should seek help from emergency services or suicide prevention helplines listed on the Platform.

1.3 Acceptance of TermsBy accessing or using the Humann Platform, Users acknowledge that they have read, understood, and agreed to be bound by these Terms. Users who do not agree to these Terms should refrain from using the Platform. Humann reserves the right to update or modify these Terms at any time, and continued use of the Platform after such updates constitutes acceptance of the revised Terms.

1.4 Legal Nature of AgreementThese Terms form a legally binding agreement between Humann and the User. Users affirm that they have the legal capacity to enter into this agreement and that they will comply with all applicable laws and regulations governing their use of the Platform.

2. PLATFORM USAGE & ELIGIBILITY

‍2.1 Eligibility RequirementsTo use the Humann Platform, Users must meet the following criteria:

  • Be at least 18 years old at the time of registration.
  • Have the legal capacity to enter into a binding agreement under Indian law.By signing up for an account, Users represent and warrant that they meet these eligibility criteria. Humann reserves the right to suspend or terminate accounts if Users are found to be ineligible.

2.2 Identity Verification

  • Users can create an account by signing up via OTP-based verification (mobile number), Gmail, or Apple ID authentication.
  • Humann does not require additional government-issued ID verification at this time. However, Humann reserves the right to request additional verification documents if fraud or suspicious activity is suspected.
  • If a User provides false or misleading information during registration, Humann may immediately suspend or terminate the account without prior notice.

2.3 Single Account Policy

  • Each User may register only one account on the Humann Platform.
  • Users cannot create duplicate accounts using the same phone number, email, or Apple ID.
  • Humann may take automated and manual measures to detect and prevent duplicate accounts.
  • If a User is found to have multiple accounts, Humann reserves the right to merge, suspend, or delete additional accounts at its discretion.

3. USER RESPONSIBILITIES & CODE OF CONDUCT

‍3.1 General Conduct ExpectationsUsers are expected to engage respectfully and responsibly when using the Humann Platform. Any behavior that disrupts the safety, integrity, or intended use of the platform is strictly prohibited. Users must:

  • Treat therapists, customer support staff, and other platform members with respect.
  • Use the platform only for its intended purpose of accessing therapy services and mental health resources.
  • Follow all platform policies, session guidelines, and applicable laws while using Humann’s services.

3.2 Prohibited ConductUsers must not engage in any of the following activities:

  • Harassment or abuse. Threatening, insulting, intimidating, or using offensive language toward therapists or platform staff.
  • Spreading misinformation. Sharing false claims, misleading health advice, or promoting unverified treatments.
  • Recording or sharing therapy sessions. All therapy sessions are private. Users may not record, store, or distribute session content in any format.
  • Soliciting therapists outside the platform. Users may not attempt to contact, engage, or arrange therapy sessions with therapists outside of Humann. Sharing or requesting personal contact details is strictly forbidden.
  • Spamming, advertising, or unauthorized promotions. Posting promotional content, advertisements, or engaging in disruptive messaging is not allowed.

3.3 Consequences of Violating Conduct StandardsHumann reserves the right to take appropriate action against any user who violates the code of conduct. Actions may include:

  • Issuing warnings for minor or first-time violations.
  • Temporary suspension of the user’s account for repeated misconduct.
  • Permanent termination of the user’s access to the platform for severe or repeated violations.Humann has sole discretion in determining the severity of violations and appropriate corrective measures.

3.4 Therapist Reporting MechanismTherapists cannot directly remove or block users from the platform but may report inappropriate behavior through Humann’s internal reporting system. Reports will be reviewed, and appropriate action will be taken based on the nature and severity of the violation.

4. PAYMENT & REFUND POLICIES

‍4.1 Payment ModelHumann offers two primary payment structures:

  • Pay-per-session. Users pay individually for each therapy session booked.
  • Bundled sessions. Discounted pricing is available when purchasing multiple sessions upfront.
  • Subscription-based payment. Currently, this applies only to the mood tracker analytics feature. Users can track their mood for free, but analytics are accessible for free only during the first 14 days, after which a subscription is required.

4.2 Refund PolicyRefunds for therapy sessions and subscriptions are governed by Humann’s official Refund Policy (_________________). Users should review the refund policy carefully before making payments.In general:

  • Refunds for completed sessions are not provided, as therapy is a service-based offering.
  • If a therapist fails to attend a scheduled session, a full refund or reschedule option will be provided.
  • Subscription payments for mood tracker analytics are non-refundable after the billing cycle begins.

4.3 Subscription CancellationUsers may cancel their subscription at any time. The cancellation will take effect at the end of the current billing cycle, and users will continue to have access to subscription-based features until that date.Subscription cancellations must be made through the platform settings. Deleting a user account does not automatically cancel active subscriptions, and Humann is not responsible for refunding charges incurred due to failure to cancel before the next billing cycle.

5. LIABILITY & DISCLAIMERS

‍5.1 Medical DisclaimerHumann is a technology platform that facilitates access to mental health professionals for online therapy sessions. However, it does not provide emergency mental health services, crisis intervention, or medical treatment. Users experiencing a mental health emergency, including but not limited to thoughts of self-harm, suicidal ideation, psychotic episodes, or other crisis situations, must immediately seek help from local emergency services or crisis helplines. Humann provides a list of recommended helplines, but it does not endorse, partner with, or take responsibility for the services provided by these organizations.

5.2 No Guarantee of Therapy OutcomesTherapy is a highly individualized process, and its effectiveness depends on various factors, including the User’s engagement, personal circumstances, and therapist compatibility. Humann does not guarantee any specific mental health improvements, behavioral changes, or therapeutic outcomes. Dissatisfaction with therapy progress is not grounds for a refund. Users are encouraged to discuss any concerns with their therapist or explore other therapist options available on the platform.

5.3 User Assumption of RiskBy using Humann’s services, Users acknowledge that:

  • They engage with therapists at their own discretion and assume all risks associated with their therapeutic journey.
  • Humann is not responsible for any decisions, actions, or consequences resulting from therapy sessions.
  • Therapy is not a substitute for professional medical care. While clinical psychologists on the platform may diagnose certain mental health conditions, therapists do not provide pharmacological treatment.Users are encouraged to seek medical advice from qualified/licensed healthcare providers when necessary.

5.4 Third-Party Harm & Limitation of LiabilityHumann is not responsible for any harm that may arise due to therapy discussions or sessions, including but not limited to:

  • A User acting upon therapy discussions in a way that leads to self-harm or harm to others.
  • Misinterpretation of therapy advice resulting in personal, financial, or legal consequences.
  • Any third-party harm caused by a User after engaging in therapy on the platform.To the fullest extent permitted by law, Humann disclaims all liability for indirect, consequential, or punitive damages resulting from the use of its services.

5.5 Mandatory Reporting by TherapistsWhile therapy sessions are confidential, therapists may be legally obligated to breach confidentiality under specific circumstances. Therapists using the Humann platform must comply with mandatory reporting laws, which may include:

  • Suspected child abuse, sexual abuse, or neglect.
  • A credible threat of harm to the User or another individual.
  • Instances where the User poses a significant risk to themselves or others.In such cases, the therapist may be required to inform relevant authorities, law enforcement, or designated crisis services. Humann has no control over these obligations and is not liable for any actions taken by therapists in compliance with legal reporting requirements.

6. ACCOUNT SUSPENSION & TERMINATION

‍6.1 Grounds for Account Suspension or TerminationHumann reserves the right to suspend or permanently terminate a User’s account if they violate platform policies. Grounds for suspension or termination include, but are not limited to:

  • Violating the community guidelines, including harassment, misconduct, or abusive behavior toward therapists or platform staff.
  • Fraudulent activity, such as false claims, identity misrepresentation, or attempting chargebacks on completed therapy sessions.
  • Non-payment of service fees, including failed transactions, declined subscription payments, or chargebacks that result in financial loss to Humann or therapists.
  • Multiple verified reports of inappropriate behavior, explicit language, or attempts to solicit therapists outside the platform.Humann reserves the sole discretion to determine whether an account suspension or termination is warranted based on the severity of the violation.

6.2 No Right to AppealUsers whose accounts are suspended or terminated will not have the right to appeal the decision. Humann’s decision in such cases is final and binding.

6.3 Account Deletion & Data RetentionUsers may request account deletion at any time by following the process outlined on the platform. However, certain data may be retained for compliance purposes:

  • Personal identification details will be permanently deleted upon request.
  • Transactional records, therapy session history, and questionnaire responses may be retained for legal, regulatory, and operational purposes, but without any personally identifiable information.Once an account is deleted, it cannot be recovered. Users who wish to rejoin the platform must create a new account and undergo the standard onboarding process.

7. CONTENT & INTELLECTUAL PROPERTY

‍7.1 Ownership of Platform ContentHumann retains full ownership of all content created, hosted, and made available on the platform, including but not limited to:

  • Platform design, logos, branding, and trademarks.
  • Software, algorithms, and backend systems powering the platform.
  • Articles, resources, guides, and any educational content provided by Humann.
  • User interface elements, session booking systems, and analytics features.
  • Any aggregated or anonymized data derived from platform usage.Users acknowledge that their use of the platform does not grant them ownership rights over any Humann content, technology, or intellectual property.

7.2 Therapy Session Materials & Therapist RightsHumann does not claim ownership over materials created or shared by therapists during therapy sessions. This includes:

  • Therapy notes, which are maintained by the therapist and not stored on the platform.
  • Homework assignments, worksheets, or exercises provided by therapists.
  • Any third-party resources therapists may share with users during sessions.Therapists are responsible for ensuring that any materials they use or share comply with copyright laws and do not infringe on third-party intellectual property rights.

7.3 User Restrictions on Content UseUsers may not:

  • Download, reproduce, or distribute any content from the platform without explicit written permission from Humann.
  • Record, capture, or store any therapy sessions or therapist-provided materials without authorization.
  • Share, publish, or sell any resources, session summaries, or platform content for commercial or personal gain.Violations of these content restrictions may result in immediate account termination and potential legal action.

7.4 Platform Moderation & Content RemovalHumann reserves the unrestricted right to modify, restrict, or remove any content at its sole discretion, including but not limited to:

  • Content that violates Humann’s community standards or legal regulations.
  • Any misinformation, misleading claims, or inappropriate content.
  • User-generated content that is flagged as offensive, defamatory, or non-compliant.Humann’s moderation decisions are final and cannot be appealed.

8. DISPUTE RESOLUTION & GOVERNING LAW

‍8.1 Jurisdiction & Applicable LawThis Agreement and all rights, obligations, and disputes arising out of or relating to the use of the Humann platform shall be governed by and construed in accordance with Indian law, without regard to conflict-of-law principles.Users agree that any legal claim or dispute against Humann must be brought exclusively in the courts located in Hyderabad, India, unless otherwise required by applicable law.

8.2 Dispute Resolution ProcessHumann prioritizes resolving disputes through mutual discussion and negotiation. If a resolution cannot be reached informally, the following structured dispute resolution process shall apply:

  • Step 1: Mediation – Both parties agree to attempt resolution through good-faith mediation, facilitated by a neutral third-party mediator.
  • Step 2: Arbitration – If mediation is unsuccessful, disputes shall be referred to binding arbitration under the rules of the Indian Council of Arbitration.
  • Step 3: Legal Action – If arbitration fails to yield a resolution, either party may pursue legal recourse through the appropriate Indian courts.

8.3 Limitation on ClaimsAny dispute or claim against Humann must be filed within one (1) year from the date the dispute arises. Claims filed beyond this period shall be considered waived.

9. ADDITIONAL CLAUSES‍

9.1 No-Suicide Contract & Emergency DisclaimerHumann is not a suicide prevention service and does not provide crisis intervention for life-threatening mental health emergencies. Users acknowledge that:

  • Therapists on the platform are not emergency responders and are not trained or authorized to handle suicide prevention or crisis management.
  • Humann provides a list of emergency helplines but does not endorse, partner with, or take responsibility for these services.
  • If a User experiences thoughts of self-harm or suicide, they must immediately seek help from a medical professional or emergency service provider.By using Humann, Users confirm that they understand and agree that therapy on the platform is not a replacement for emergency medical or psychiatric care.

9.2 Confidentiality & Privacy ObligationsUsers agree to comply with Humann’s Privacy Policy, which governs the collection, processing, and storage of their personal data.

  • User Data Protection. Humann implements security measures to protect user data, but users must also take steps to safeguard their own information.
  • Confidentiality of Therapy Sessions. While therapists maintain confidentiality, there are legal and ethical exceptions where disclosure may be required, including cases of suspected abuse, threats of harm, or court orders.
  • Prohibited Sharing of Private Information. Users are prohibited from disclosing, recording, or sharing any confidential information obtained through the platform, including therapy discussions.Humann reserves the right to take action, including account suspension or termination, if a user is found to be violating confidentiality policies.

9.3 Nature & Conduct of Client-Therapist RelationshipThe therapist-client relationship is governed by professional ethics and platform policies, ensuring that:

  • Therapy is strictly professional and must not extend into personal, social, or financial relationships.
  • Therapists may discontinue therapy if they determine that a case requires a specialist or is affected by transference, countertransference, or ethical concerns.
  • If a therapist determines that therapy is not in the best interest of the user, they may refer the user to another therapist or suggest alternative professional support.Users acknowledge that therapy on Humann does not establish a long-term obligation between the therapist and the user.

9.4 Prohibited Conduct for TherapistsTo maintain professional boundaries, therapists must adhere to strict ethical guidelines while using Humann. Therapists are strictly prohibited from:

  • Providing therapy to individuals with whom they have a personal relationship, including family members, friends, romantic partners, or colleagues.
  • Upselling or promoting external services that are not affiliated with Humann, including but not limited to:
    • Directing users to their personal practice outside the platform.
    • Requesting users to engage in financial transactions outside of Humann’s payment system.Violations of these policies may result in immediate suspension or permanent removal from the platform.

10. SERVICE LIMITATIONS & USER RESPONSIBILITY

‍10.1 Therapy is Not a Substitute for Medical TreatmentHumann provides mental health support through therapy but does not:

  • Offer pharmacological prescriptions.
  • Replace psychiatric care for severe mental health conditions.
  • Provide in-person or emergency medical intervention.Users must seek medical professionals for any condition that requires prescription medication, medical diagnoses, or emergency intervention.

10.2 Missed Appointments & No-Show PolicyUsers acknowledge that therapy sessions require mutual commitment between them and their therapist. If a user fails to attend a session without proper rescheduling, the following conditions apply:

  • No-shows and last-minute cancellations are non-refundable.
  • Rescheduling must be done within the allowed timeframe specified in Humann’s rescheduling and cancellation policy (attached separately).
  • If a therapist misses a session without rescheduling, the user will be eligible for a full refund or free rescheduling.Repeated missed appointments or session disruptions may result in account restrictions or additional penalties.

10.3 User Misconduct & Account ConsequencesHumann enforces strict policies regarding inappropriate user behavior. Users acknowledge that:

  • Any form of harassment, abusive language, or misconduct toward therapists, customer support staff, or other users will not be tolerated.
  • Engaging in fraudulent activity, identity misrepresentation, or chargebacks may result in permanent account suspension.
  • If a user is banned for misconduct, they will not be entitled to any refunds for outstanding balances, subscriptions, or pending therapy sessions.Humann reserves the right to take appropriate legal action if a user engages in severe violations of platform policies or legal obligations.
